Q: What Is A Company?
A: A company is essentially a body corporate registered in Australia which exists as a separate legal entity from the owners or members (also known as shareholders) and run by the director/s.
A company is registered by the Australian Securities and Investments Commission (ASIC). Once registered a unique company registration number is provided, also referred to as the ‘Australian Company Number’ or ‘ACN’. 

Q: What is a registered Business name?
A: A registered business name is the trading name used to carry on the business. Names are maintained and checked against the ASIC database. Strict criteria exist for the use of a business name. It cannot be identical to a pre-existing name. It must be a socially acceptable name, it must not infringe on others identity etc.... A business name may be checked with ASIC prior to registration.


Q: What types of companies may be formed?
A: There are essentially two types of companies. A Public company and a Proprietary company.

  • A proprietary company (recognised by the ‘Pty Ltd’ appearing after the company name) is not permitted to raise funds through the sale of shares to the public and can have between one and fifty shareholders.
  • A public company is generally listed on the Australian Stock Exchange (ASX) and is recognised by the ‘Limited’ or Ltd’ abbreviation after the company name. Public companies are required to have at least one shareholder and three directors.
